Introduction
TribalHub LLC and its subsidiaries and affiliates (“TribalHub”) form the largest nationwide network of technology minded leaders from Native American and Alaska Native communities representing Tribal Government, Tribal Healthcare, Gaming/Hospitality, and a variety of diverse tribal owned and operated enterprises (“tribes”). TribalHub connects tribes to one another and tribes to suppliers and solutions, while providing TribalHub Members with access to a variety of industry information. We are a Membership organization, an event management organization, an education and consulting organization, and an information sharing platform. By joining as a TribalHub Member, or by registering and/or participating in any of our events or services, you are also agreeing to the T&Cs defined below.
These Terms & Conditions are our standard T&Cs and supplements any other terms that may be defined in specific service agreements, but is not intended to override them.
How T&Cs are organized in this document:
- I. EVENTS: Terms & Conditions specific to TribalHub Event Attendees, Vendors, Exhibitors, Sponsors Speakers and Participants: See Section “I.”
- II. MEMBERSHIP: Terms & Conditions specific to Membership for TribalHub Members and Associate Members: See Section “II.”
Section I. EVENT Terms & Conditions
Who These T&Cs Apply To:
These Section I Terms & Conditions are for all events planned, coordinated and delivered (“Event(s)”) by TribalHub and any of its subsidiaries or affiliates (“TribalHub”). If you are attending, exhibiting, sponsoring or participating in any TribalHub event, you agree to be bound by these T&Cs.
1. Attendance Policy
Only registered and paid (if the specific event has a registration fee) attendees, exhibitors, and sponsors are allowed to attend and participate in a TribalHub Event. Manufacturers, suppliers, or distributors who are not registered or who have not paid any required Event registration or sponsorship fees are expressly prohibited from participating or engaging in any sales solicitations during an Event. Companies that have paid to sponsor or exhibit at a TribalHub Event will be provided with a form of identification (most often a printed badge) that will clearly identify them as officially registered vendors and will have exclusive rights to promote or sell products/services during the Event. TribalHub reserves the right to deny access to an Event to any attendee, exhibitor or sponsor for misconduct, unprofessional conduct, threatening behavior or for any reason or action that TribalHub, in its sole discretion, determines is not in the best interest of the Event or the Event participants.
2. Voluntary Participation:
Participation in all event activities, including off-site tours and transportation, is entirely voluntary.
3. Assumption of Risk:
I understand that Event participation may involve inherent risks, including but not limited to exposure to illness, physical injury, or other unforeseen events. I and/or my company’s attendees voluntarily assume all such risks associated with their participation in the Event.
4. Payment Terms
All payments are due Net 30 unless specifically stated otherwise in the event registration form. All amounts are invoiced and due in US dollars. Full payment must be received within 30 days of invoice in order to guarantee space and level of participation. If the event is less than 30 days out from invoice date, payment is due immediately upon invoice. Late fees of 1.5% charge per month will accrue for past due amounts. Refunds are not permitted at any time. You will receive a registration invoice to pay by check, credit card, or ACH. ACH, check, and cash payments will not incur any additional fees. All credit card payments will incur a 2.9% non-refundable convenience fee.
5. Delay in Payments
TribalHub holds the right to vacate or cancel any Attendee, Exhibitor, or Sponsor registration that does not remit payment by its specified due date.
6. Discounts
Discounts will only be available for NEW registrations. Once registration has been processed and paid, discounts will no longer be valid and may not be retroactively applied.
7. Refunds
Once payments are made, registration fees, exhibitor fees, sponsorships, and passes are non-refundable. Unless specified differently on Event registration form, at no time will cancellations be honored a refund. Attendees, Exhibitors, and Sponsors acknowledge that TribalHub incurs many unrecoverable expenses and provides services throughout the year in planning, marketing, and organizing the Event. For the same reasons, paid sponsorships cannot be downgraded.
8. Travel to Event and General Awareness
Travel to and from the Event is the responsibility of each Attendee, Exhibitor, or Sponsor. TribalHub regularly monitors available information sources prior to and during all of our events to communicate important information or precautions intended to ensure the health and safety of all of our event participants. We consult with multiple travel and event resources and attempt to stay current with government guidance related to the travel industry and our specific events. We encourage and recommend that all event participants consult with government and informational sources on their own and travel or participate in events in a safe and sensible manner. We recommend that event participants that intend to travel to any or our events purchase travel insurance or refundable travel as TribalHub is not responsible for any travel costs due to travel disruption, event disruption, and/or cancellation of the event.
9. Photography & Filming
Photographs, audio, and video may be captured during the event. Attendees, Sponsors, and Exhibitors hereby grant TribalHub and its representatives no-cost permission to photograph and/or record them at the event, and distribute (both now and in the future) the Attendee, Sponsor, or Exhibitors image or voice in photographs, videos, electronic reproductions, and audio recordings of such events and activities.
10. Presenter/Exhibitor/Attendee - Views, Opinions, Statements
The views, opinions, and statements expressed by speakers, panelists, exhibitors, sponsors or any attendees during this event are their own and do not necessarily reflect the views, opinions, or policies of TribalHub or its members. TribalHub does not endorse or assume responsibility for any statements made during this event. While we strive to create open and meaningful dialogue, we do so in a respectful environment for all participants. As part of our commitment to fostering a constructive and collaborative event, we kindly request all attendees refrain from making public comments or statements that disparage other individuals, organizations, or companies present at the event. Rather, please share critical feedback in a constructive and professional manner or through one-on-one conversations rather than public forums as appropriate. By participating in this event, you agree to uphold these guidelines to ensure a positive experience for all attendees, exhibitors and sponsors.
11. Presenter/Speaker/Panelist - Sharing of Content
Unless separately agreed otherwise, each presenter, speaker or panelist agrees to allow TribalHub to share and distribute their session information and any content presented at any TribalHub Event. This includes slides, videos, recordings, pictures or quotes.
12. Indemnification
Neither TribalHub nor its volunteers or event attendees are responsible for the safety or maintenance of the facility(ies) where the TribalHub Event(s) are held. By registering for the Event, intending to be legally bound, you hereby agree to release from liability and to fully indemnify and hold harmless TribalHub (including, but not limited to, its officers, directors and employees) and any Volunteers who are acting as Event personnel. This waiver and release is for any and all liability, including, but not limited to, personal injuries (including death), costs, expenses, property losses or damages occasioned by, or arising in connection with, any activity related to any and all TribalHub Events.
13. Event Attendee: General Release of Liability:
To the fullest extent permitted by law, I, on behalf of myself, my tribe/company, and all our registered participants, release and hold harmless TribalHub, its affiliates, officers, employees, agents, and partners from any and all claims, liabilities, damages, or demands arising out of or related to participation in the event or associated activities, except in cases of gross negligence or willful misconduct.
14. Force Majeure
TribalHub reserves the right to retain Exhibitor, Sponsor, and Attendee funds for expenses incurred and services provided and may suspend or terminate its performance obligations, partially or entirely, without liability or further obligation, to the extent that its performance is materially and adversely affected by events or occurrences beyond its control that makes it illegal, impossible, or commercially impracticable to provide the facility or to hold the Event, or that prevents at least forty (40%) percent of TribalHubʼs anticipated Event attendees from attending or from arriving in the city of the Event on their scheduled arrival dates. Commercial impracticability includes, but is not limited to: terrorism (or credible threats of), war, fire, natural disasters, hazardous weather (actual or forecasted) within 100 mile radius of the Event, or other acts of God, travel advisories, quarantines, pandemics, curfews, government regulations, labor dispute or picketing, a cancellation or restriction of commercial travel, or any act or occurrence creating a potentially significant risk to the health or safety of anticipated attendees, outbreak of disease in the city or region where the Event is to be held or in one or more cities of origin from where anticipated attendees would be traveling, or other similar supervening act or occurrence.
*T&Cs Specific To (15-18): Event Exhibitors and Sponsors:
15. Use of Logo or Marks — Exhibitors and Sponsors
Sponsors or Exhibitors grant TribalHub the permission to use their provided logo or marks strictly for the purposes identified within their Exhibitor or Sponsor benefits and to market their participation in the Event. Sponsors or Exhibitors agree that no further pre-approval or prior review of use or placement is required or practical given the short marketing material production timeline and the number of Event Sponsors and Exhibitors, and any Sponsor or Exhibitor requiring any additional review or pre approval, in an addendum or otherwise, will waive any included Sponsor or Exhibitor Event benefit that would have included their logo or mark, and their logo or mark will not be used.
16. Non-Agenda Event - Exhibitors and Sponsors
During the published official Event agenda times, you agree that any Sponsor or Exhibitor planned or marketed events (meetings, dinners, receptions, excursions, etc) scheduled during the Event dates for groups larger than 20 people must be communicated to TribalHub and pre-approved by TribalHub prior to the Event start date.
17. Liability - Exhibitors and Sponsors
TribalHub and the host site, their respective directors, employees, or representatives will not be responsible for any injury, loss, damage, or theft that may occur to the Sponsor or Exhibitor, or to the Sponsorʼs or Exhibitorʼs employees or property except to the extent caused by the negligent act or omissions of TribalHub or the Host Site, during or subsequent to the period covered by the exhibit contract. The Sponsor or Exhibitor, on signing this contract, expressly releases the aforementioned company, individuals and representatives from, and agrees to indemnify same against, any and all claims for such loss, damage or injury except to the extent caused by the negligent act or omissions of TribalHub or the Host Site. Any insurance desired is at the responsibility of the Sponsor or Exhibitor
18. Tradeshow/Exhibit Floor - Exhibitors and Sponsors
- Use Of Space: Once registered, Exhibitors may not assign, sublease, license, share or otherwise transfer the whole or any part of their exhibit space to any third party. All aisle and entry/egress space is under the control of TribalHub and shall not be used for exhibitor sales or demonstration purposes. All exhibitor displays and materials must fit entirely within the space purchased and pre-assigned. Individual exhibitors agree to not block the view, project sound, project video or lighting, or intrude in any way into or onto the space of neighboring exhibitors or any shared walls and aisleways. TribalHub reserves the right to restrict noise levels or music, PA devices or systems, speakers, lighting, or other potentially distracting agents. Painting, nailing, drilling of any part of the Event facility is not permitted. The use of any explicit, vulgar, unprofessional or threatening displays/signs or materials is strictly prohibited.
- Booth Set Up And Tear Down: Set up and tear down of exhibit booth displays and materials is only allowed during published and communicated times specific to that purpose. Sponsors and Exhibitors agree to have their booth completely set up and completely taken down within the specific Event times communicated and assigned to those purposes.
- Shared Space Or Sponsorships: As stated in “18.A.” above, sponsorships and exhibitor space and packages are not shareable, and non-transferrable post Event registration, and exhibit space and any associated benefits are designed for, and will be provided for, only ONE named and registered company. If at the time of registration and payment for the Event, one or more companies have chosen to partner with other companies for the purpose of sharing the single exhibitor or sponsor space and/or cost, you understand and agree that only one company name will be noted, recognized and assigned as the registered exhibitor/sponsor, and only one company will receive any benefits that may be defined and provided to any specific level of exhibitor or sponsor paid registration. TribalHub will not “split” any benefits that may be associated with exhibiting or sponsoring.
- Lead Retrieval And Badge Scanning: Lead retrieval and badge scanning may be available for an additional fee at TribalHub Events, and is designed to make it easier for attendees and exhibitors to share contact information when an attendee visits a specific exhibitor display/booth that has purchased this service. Exhibitors and Sponsors purchasing this service agree to use these tools in a professional manner, including only scanning badges of attendees who agree to have their badge scanned and associated information collected by this process. Scanning of attendee badges in exhibit floor aisles, outside of an exhibitor's own booth space or without first informing an attendee that their badge is being scanned is prohibited. Exhibitors agree to not resell contact information and agree to not use unprofessional or overly aggressive sales tactics with any contacts obtained through lead retrieval and badge scanning from a TribalHub Event.
- Show Management: TribalHub may engage third parties to provide products and services and to perform certain Event services such as exhibitor/expo management, show management, event registration and badging, mobile app and security resources. TribalHub, the host site resources, and all engaged third parties, conduct, direct and assist with services provided as part of any Event.
- Security: TribalHub and associated Show Management will take reasonable precautions to safeguard exhibitor property during any Event. However, TribalHub and Show Management are not responsible for any exhibitor property, materials, or equipment shipped to or from an Event, or when set up in an exhibit/tradeshow display booth, and neither party implies, guarantees or warranties the safety of exhibit booths or their contents.
- Fire & Safety Laws: Federal, State,City, County Laws and regulations must be observed. Aisles and fire exits cannot be blocked by exhibits or exhibit materials. Exhibit floor layout and any exhibit space is subject to change based on Event site rules, safety regulations and if required for any Event, the fire marshal final walk through, review and approval.
- Insurance: Event fire and theft insurance is the responsibility of each Sponsor or Exhibitor at their own expense. TribalHub and Show Management is not responsible for direct or consequential damages.
Section II. MEMBERSHIP Terms & Conditions
Who These T&Cs Apply To:
The Terms & Conditions in this Section II apply to TribalHub Membership and Associate Membership as part of TribalHub (“TribalHub”). These TribalHub Membership Terms & Conditions govern your membership with TribalHub, which is operated by TribalHub, LLC ("TribalHub," "we," "us," or "our"). By applying for, renewing, or utilizing any membership benefits, you agree to be bound by these T&Cs.
1. Definitions
- Member: An individual holding a TribalHub Membership.
- Associate Member: A commercial entity holding an Associate Membership.
- Tribal Entity: A federally recognized tribe or any of its wholly owned enterprises.
- Online Portal: The proprietary online platform and information resource provided by TribalHub (e.g., knowledge base, search, systems/profile lookup, connect, library, directories).
- Term: The twelve (12) month period for which membership is purchased.
2. Membership Categories And Eligibility
2.1 TribalHub Membership (For Tribal Entities)
- Eligibility: This membership is available exclusively to individuals who are current, active employees working directly for a Tribal Entity. Exception: Wholly Tribe/Native-owned enterprises with the primary goal of selling goods or services to other Tribal Entities will only be eligible for Associate Membership.
- Purpose: This membership is intended to support the professional development, education and connectivity of technology-minded leaders within Tribal Entities.
- Transferability: TribalHub Memberships are non-transferable and tied to the individual Member. Should the Member cease employment with the sponsoring Tribal Entity, the membership will be reviewed by TribalHub, and may, at TribalHub’s sole discretion, be terminated or transferred to a designated successor within the same Tribal Entity for the remainder of the Term.
- Benefits: Access to the Online Portal, discounts on TribalHub events and services, participation in Member-exclusive forums, and other benefits as published by TribalHub.
2.2 Associate Membership (For Commercial Entities)
- Eligibility: This membership is available to commercial entities (e.g., vendors, service providers), Government Agencies or Non-Profits seeking to connect, market, or sell goods or services to Tribal Entities.
- Purpose: This membership facilitates commercial networking and engagement with the TribalHub community.
- Designated Users: The Associate Membership grants access to a limited number of named employees ("Designated Users") of the Associate Member, as specified in the membership enrollment form. The Associate Member must notify TribalHub promptly of any changes to its Designated Users.
- Benefits: Inclusion in the Associate Member directory, enhanced visibility at TribalHub events, access to the Online Portal for Designated Users, and other benefits as published by TribalHub.
3. Fees, Payment, And Term
- Membership Term: All memberships (TribalHub and Associate) are annual and valid for a single Term beginning on the date of activation.
- Fees: All fees are due in full upon enrollment or renewal. All amounts are invoiced and due in US dollars. ACH, check, and cash payments will not incur any additional fees. All credit card payments will incur a 2.9% non-refundable convenience fee. TribalHub reserves the right to change membership fees at any time, but such changes will only apply to new memberships or renewals occurring after the change date.
- Non-Refundable: Membership fees are non-refundable once processed, except as expressly provided in these T&Cs (e.g., termination by TribalHub without cause).
- Renewal: Memberships will expire at the end of the Term unless either an auto renewal payment or a timely renewal payment is received. TribalHub is not responsible for any lapse in benefits due to late renewal.
4. Use Of Online Portal And Intellectual Property
- License: TribalHub grants the Member or Associate Member (for its Designated Users) a limited, non-exclusive, non-transferable license to access and use the Online Portal solely for the duration of the Term and for the purposes outlined herein.
- Confidentiality: All content, data, research, reports, and materials provided within the Online Portal or during TribalHub events are the exclusive property of TribalHub or its content providers and are confidential. Members and Associate Members agree not to reproduce, distribute, or publicly display such materials without the prior written consent of TribalHub.
- Member Content: Any content, posts, or information submitted by a Member or Associate Member to the Online Portal or community forums grants TribalHub a perpetual, royalty-free, irrevocable, worldwide license to use, reproduce, modify, and publish that content.
- Prohibited Use: Members and Associate Members must not use the Online Portal or any membership benefits for illegal, harmful, or unethical purposes, including, but not limited to, unauthorized solicitation, spamming, harassment, or distribution of malware.
5. Associate Member Conduct And Ethics
- Direct Solicitation: Associate Members are prohibited from using the Member contact information obtained through the Online Portal or events for aggressive, unsolicited, or high-volume direct sales outreach outside the scope of organized TribalHub networking activities.
- Resale or Sharing of Information: Associate Members shall not resell or share any information obtained through the Online Portal. The information is for the sole use of the licensed/named Associate Member (User), and for their own use and their own legitimate business use. See further 4.B “Confidentiality” above.
- Respect for Members: Associate Members must conduct all interactions with TribalHub Members with respect and professionalism. Any attempt to exploit, mislead, or improperly influence Tribal Entities or their employees may result in immediate termination of the Associate Membership without refund.
- Misrepresentation: Associate Members shall not misrepresent their affiliation with TribalHub or suggest that TribalHub endorses their products or services without express written permission.
6. Termination And Suspension
- Termination by TribalHub: TribalHub may immediately terminate or suspend any membership (TribalHub or Associate) without refund if the Member or Associate Member breaches any provision of this Agreement, engages in conduct detrimental to the community, violates TribalHub's ethical guidelines, or fails to pay fees.
- Termination by Member: A Member or Associate Member may terminate their membership at any time by providing written notice to TribalHub. No refund of prepaid fees will be issued upon termination initiated by the Member or Associate Member.
7. Disclaimers And Limitation Of Liability
- No Guarantees: TribalHub makes no representations or warranties regarding the results, opportunities, or success gained from membership, including, but not limited to, sales, business connections, or professional advancement.
- Limitation of Liability: In no event shall TribalHub, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with membership or the use of the Online Portal. TribalHub's total liability to any Member or Associate Member shall not exceed the amount of membership fees paid by that entity for the Term in which the liability arose.
8. General Provisions
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan.
- No Waiver of Sovereign Immunity: Nothing in these T&Cs will be interpreted to constitute a waiver of a Tribe’s sovereign immunity.
- Entire Agreement: This T&C constitutes the entire agreement between you and TribalHub regarding the Membership subject matter herein.
- Amendments: TribalHub reserves the right to modify these T&Cs at any time. Changes will be posted to the TribalHub website and become effective upon the effective date of the update. Continued use of membership benefits constitutes acceptance of the modified T&Cs.
